PRACTICES, CONDITIONS & TERMS

Quotations

Quotations, which remain estimates until receipt of files, are based on the accuracy of specifications provided. Premier Print Group will requote a job at time of submission if files do not conform to the information on which the original quotation was based. A quotation not accepted within 30 days is subject to review and change.

Orders

Acceptance of orders is subject to contingencies such as fire, water, strikes, theft, vandalism, acts of God and other causes beyond Premier Print Group's control.

Electronic files

Note: Hard copy must be made available for all files, regardless of how they are received. In the event hard copy is not presented, Premier Print Group will create it at customer's expense. It is the customer's responsibility to maintain a copy of original files. Premier Print Group is not responsible for accidental damage to media supplied by the customer or for the accuracy of furnished input or final output. Until Premier Print Group can evaluate digital input, no claims or promises are made with regard to Premier Print Group's ability to work with submitted files and no liability is assumed for problems that may arise. Any additional work required to utilize customer-supplied files will be charged at prevailing rates. Unless otherwise agreed, the customer will pay for electronic file transmission charges. Premier Print Group is not responsible for any error or extra costs resulting from faults in transmission.

Terms / Taxes / Claims / Liens

Payment is net cash 30 calendar days from date of invoice to clients who have established an account. If payment terms are not met the customer is liable for collection costs incurred. Payment terms for all other accounts are 100% cash payment at time order is placed. All applicable taxes and assessments are included in quoted prices. Tax exemptions will not be considered in quotations unless official proof of exemption accompanies the purchase order. Claims for defects, damages or shortages must be made by the customer in writing no later than 48 hours after delivery. If no such claim is made, Premier Print Group and the customer will understand that the job has been accepted. By accepting the order the customer acknowledges that Premier Print Group's performance has satisfied all terms, conditions and specifications.

Cancellations or altered orders

Cancelled orders require compensation for incurred costs and released obligations. Paper cost will also be billed. Altered orders may incur additional charges.

Creative Work

Creative work performed at customer's request will be charged to the customer at Premier Print Group's current rate. All creative work developed or furnished by Premier Print Group are its exclusive property and require Premier Print Group's written approval for use of the work and for any derivation of ideas from it.

Preparatory materials

Artwork, electronic files, plates, negatives, and all other materials provided by Premier Print Group for the purpose of producing the customer's job remain the exclusive property of Premier Print Group.

Alterations / corrections

Customer alterations include all work performed in addition to the original specifications beyond a reasonable amount of time spent during preflighting files. All such work will be charged as "Author Alterations" at Premier Print Group's current rates.

Prepress proofs

Premier Print Group will submit prepress proofs along with a proof approval form for the customer's review and approval. Corrections and/or alterations must be noted on the approval sheet and proof and then returned to Premier Print Group marked "O.K. as is" or signifying appropriate action(s) and signed by the customer. Premier Print Group will not be responsible for undetected printed errors regardless of origin when: a) work is printed per the customer's signed approval, b) proofs are not required by the customer and c) requests for changes are communicated orally. Further, because of differences in equipment, paper, ink and other conditions between color proofing and production pressroom operations a reasonable variation in color between color proofs and the completed job is to be expected and considered acceptable performance.

Press proofs

Press proofs will not be furnished unless they have been requested and included in Premier Print Group's quotation. A press sheet can be submitted for the customer's approval as long as the customer is present at the press during make ready. Any press time lost or alterations or corrections made because of the customer's delay or change of mind will be charged at Premier Print Group's current rates.

Over-runs or under-runs

Over-runs or Under-runs will not exceed 10% of the quantity ordered. Premier Print Group reserves the right to bill for actual quantity delivered within this tolerance. If the customer requires a guaranteed quantity, the percentage of tolerance must be stated at the time of quotation.

Customer's property

Premier Print Group will only maintain fire and extended coverage on property belonging to the customer while the property is in Premier Print Group's possession, the liability for this property not to exceed the amount coverable by its insurance. If requested, customer materials will be stored for an additional period and additional charges may apply. Premier Print Group is not liable for any loss or damage to stored materials beyond what is recoverable by its fire and extended insurance coverage. Additional insurance coverage may be obtained if it is requested in writing and if the premium is paid to Premier Print Group.

Delivery

Unless otherwise specified, the price quoted is for a single shipment, without storage, F.O.B. customer's platform. Quotations are based on continuous delivery of complete orders. If specifications state otherwise Premier Print Group will charge accordingly at current rates. Charges for delivery of materials from the customer or customer's supplier to Premier Print Group are not included in quotations unless specified. Title for finished work passes from Premier Print Group to the customer upon mailing of invoices for the finished work.

Production schedules

Production schedules will be established and followed by both the customer and Premier Print Group. In the event that production schedules are not adhered to by the customer delivery dates will be subject to renegotiation. There will be no liability or penalty for delays due to state of war, riot, civil disorder, fire, strikes accidents, action of government or civil authority, acts of God or other causes beyond Premier Print Group's control. In such cases schedules may be extended an amount of time equal to delay incurred.

Customer-furnished materials

Materials furnished by the customer or their suppliers are verified by delivery tickets. Premier Print Group bears no responsibility for discrepancies between delivery tickets and actual counts or the usability of materials furnished, which includes electronic files. All furnished materials must conform to Premier Print Group's specifications.

Disclaimer of express and implied warranties

Premier Print Group warrants that its work will be produced as described in the customer's purchase order. The customer understands that all samples shown are intended only to illustrate the general type and quality of Premier Print Group's work. They are not intended to represent the actual work to be performed. Premier Print Group warrants that its work will meet acceptable commercial printing standards. Under no circumstances will Premier Print Group be liable for specific individual or consequential damages.

Indemnification

The customer agrees to protect Premier Print Group from economic loss and any other harmful consequences that could arise in connection with the work. This means that the customer will hold Premier Print Group harmless and save indemnity and otherwise defend Premier Print Group against claim, demands, actions, and proceedings on any and all grounds. The customer also warrants the subject matter to be printed is not copyrighted by a third party. The customer also recognizes that because subject matter does not have to bear copyright indicia in order to be protected by copyright law, absence of such notice does not necessarily assure a right to reproduce. The customer further warrants that no copyright notice has been removed from any material used in preparing the subject matter for reproduction to support these warranties. The customer agrees to indemnify and hold Premier Print Group harmless for all liability damages and attorney fees that may be incurred in any legal action connected with copyright infringement involving the work produced or provided. The customer further warrants that the work contains nothing that is libelous or scandalous and nothing that threatens anyone;s right to privacy or other personal or economic rights. The customer will at the customers sole expense promptly and thoroughly defend Premier Print Group in all legal action on these grounds as long as Premier Print Group promptly notifies the customer of the legal action and gives the customer reasonable time to undertake and conduct a defense. Premier Print Group reserves the right to use its sole discretion in refusing to print anything deemed illegal, libelous, scandalous, improper or infringing upon copyright law.
